These Terms of Service (“Terms”) are an agreement between you and Enortic, Inc. (“Enortic,” “we”) for the Morrow website and product. By using Morrow, you agree to them. If you use Morrow for a company, you confirm you can bind that company.
1. The service
Morrow is a company brain for teams and agents. It can run local-first on your devices, self-hosted on your infrastructure, or as a cloud / managed workspace on Business and Enterprise plans. Features, agents, and integrations may change as we ship.
2. Accounts
You must provide accurate account information and keep credentials safe. You are responsible for activity under your workspace, including teammates and agents you invite. We may suspend an account that is abused, unpaid, or unlawful.
3. Your data and memory
You retain rights in the content you put into Morrow (“Customer Content”). You grant Enortic a limited license to host and process Customer Content only as needed to provide the service you selected. Local-first deployments keep Customer Content on your side unless you send it to us.
Mor proposes; nothing is written to tasks, plans, or integrations until a human confirms, unless your plan documents a different control. You decide which integrations and projects Morrow may read.
4. Acceptable use
You will not:
- Break the law or others’ rights with Morrow
- Probe, disrupt, or overload the service except via an agreed security test
- Resell Morrow or scrape the site without permission
- Upload malware or attempt to bypass approval, access, or billing controls
- Use Morrow to train a competing public model on our systems
5. Plans and payment
Team and Business are billed per seat and per connected integration, monthly or annually, as shown on the pricing page. Annual plans are billed up front at ten months for twelve. Team is self-hosted. Business adds cloud, SSO, and priority support. Enterprise is scoped on a call for volume and residency. Fees are due as quoted. Taxes are extra unless stated. We may change list prices for a later term with notice. Custom DPA, residency, and SLA terms apply only if written into an order.
6. Integrations and models
Third-party services you connect (Slack, Jira, GitHub, Notion, and others) and models you pick have their own terms. Enortic is not responsible for those services. Disconnecting an integration stops new pulls; memory already captured stays until you delete it.
7. Intellectual property
Enortic and its licensors own Morrow, the site, and our marks. You may not copy or reverse engineer the product except as law allows. Feedback you send may be used to improve Morrow without obligation to you.
8. Availability and support
We aim for a reliable service but do not promise uninterrupted operation except where an Enterprise SLA is signed. Priority support and a 4-hour critical incident SLA are Enterprise terms only.
9. Disclaimers
Morrow is provided “as is.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent the law allows. Agents can be wrong. You remain responsible for decisions you approve.
10. Liability
Enortic is not liable for indirect, incidental, special, consequential, or lost-profit damages. Our total liability for a claim relating to Morrow is limited to the fees you paid us for the service in the 12 months before the claim, or one hundred US dollars if you paid nothing. These limits do not apply to fraud, death or personal injury caused by negligence, or liability the law does not allow us to limit.
11. Term and termination
These Terms start when you first use Morrow and continue until you stop or we end the service. You may delete a project’s memory or close an account at any time. After termination we delete cloud Customer Content as described in the DPA, except records we must keep.
12. Governing law
Delaware law governs these Terms, without regard to conflict-of-law rules. Courts in Delaware have exclusive jurisdiction, except that either party may seek injunctive relief where the harm occurs.
13. Changes
We may update these Terms by posting a new version on this page. Continued use after the effective date is acceptance. If you do not agree, stop using Morrow.
